01DEFINITIONS
"Studio" means Sightline Design of [Registered Address], [Jurisdiction]. "Client" means the party engaging the Studio. "Scheme" means the design, props, lighting plan, and merchandising plot supplied for a project. "Quotation" means the written scope and price issued by the Studio.
02SCOPE OF SERVICES
Services may include retail window display design and installation, luxury boutique installations, corner lighting design and focusing, and VP/PP/IP merchandise plotting. The deliverables, sites, and dates for each project are defined in the Quotation. Anything not stated in the Quotation is out of scope.
03QUOTATIONS AND ACCEPTANCE
Quotations remain valid for [Validity Period, e.g. 30 days]. A project is confirmed when the Client accepts the Quotation in writing and the deposit is received. Slots in the install calendar are reserved only on confirmation.
04FEES AND PAYMENT
- A deposit of [Deposit Percentage, e.g. 50%] is payable on confirmation.
- The balance is payable within [Payment Terms, e.g. 14 days] of installation.
- Fabrication materials, print, lighting hardware, freight, and out-of-hours access charges are billed as quoted or at cost plus [Markup, e.g. 15%] where estimated.
- Late payment may attract interest at [Interest Rate] as permitted under the law of [Jurisdiction]. Stated prices exclude [Applicable Taxes].
05CLIENT RESPONSIBILITIES AND SITE ACCESS
- Provide accurate glazing dimensions, floor plans, lighting track details, and product samples by the agreed dates.
- Ensure safe, cleared access to the window and floor during the agreed install window, including keys, alarm codes, loading access, and power.
- Supply merchandise for display in saleable condition and in the agreed quantities.
- Obtain any landlord, centre management, or local authority consent required for the installation.
06CHANGES AND DELAYS
Change requests after design sign-off are quoted separately and may move the install date. Delays caused by late approvals, late product delivery, or denied site access may incur re-scheduling charges of [Rescheduling Fee]. The Studio is not liable for delay caused by suppliers, freight, utilities, or events outside its reasonable control.
07INSTALLATION, SAFETY, AND MAINTENANCE
Installations are carried out by the Studio's team and approved contractors, typically outside trading hours. Electrical work is performed by qualified contractors in accordance with the regulations of [Jurisdiction]. After handover, the Client is responsible for day-to-day maintenance, restocking to the supplied plan-o-guide, and reporting damage promptly.
08INTELLECTUAL PROPERTY
The Studio retains copyright in concepts, drawings, lighting plans, and plot documents until the project is paid in full, at which point the Client receives a non-exclusive, non-transferable licence to use the Scheme at the sites named in the Quotation. Re-use at additional sites requires a further licence. The Studio retains the right to photograph completed work, subject to the Privacy Policy.
09PROPS AND EQUIPMENT
Hired props, mannequins, and lighting fixtures remain the property of the Studio or its suppliers and must be returned in the condition supplied, fair wear excepted. Loss or damage is charged at replacement cost.
10WARRANTIES AND LIABILITY
The Studio warrants that services will be performed with reasonable skill and care. To the fullest extent permitted by the law of [Jurisdiction], the Studio's total liability arising from a project is limited to the fees paid for that project, and the Studio is not liable for lost profit, lost sales, or indirect or consequential loss. Nothing in these terms limits liability for death, personal injury caused by negligence, or fraud.
11CANCELLATION
Cancellation rights and charges are set out in the Refund Policy, which forms part of these terms.
12WEBSITE USE
Site content, including photography and copy, is owned by the Studio and may not be reproduced without permission. The site is provided "as is" without warranty of uninterrupted availability.
13GOVERNING LAW
These terms are governed by the laws of [Jurisdiction], and the courts of [Jurisdiction] have exclusive jurisdiction over any dispute. The parties will attempt good-faith resolution, and may use [Dispute Resolution Method, e.g. mediation], before commencing proceedings.
